Name: The name of this organisation is Mardan Foundation (MF).
Entity: The Association is non-for-profit non-governmental organisation.
Article 1
The main office of the Organisation will be at office No 47, Cantt Plaza, The Mall Road, Mardan.
Article 2
The organisation will primarily carry out operations in the N.W.F.P. Afterwards and in due course will expand its services to other areas of the country.
Article 3
MISSION AND PURPOSES OF THE ORGANISATION
Social
MF will work for advancing the social life of people by providing them opportunities for socio-economic development.
This Organisation will help localities to maintain their streets, water courses, drains, sanitation, plantation, restoration, maintenance and development of heritage sites and roads.
MF will assist the administration and the community in the annihilation of social evils from the society and will help the poor people through free medical camps by giving them their basic need.
It will make efforts to discourage child labour with the help of government and rural community and will assist the Government in their poverty alleviation plans.
Education/Health
MF will
- Help the poor and needy students by providing free tutorial services as well as books and other learning materials.
- Help the community in promoting health and basic education for children and women.
- Help devise means for enhancing basic skills of men and women in order to increase their domestic earning.
- Impart civic education to the community members for establishing a value, thereby creating a sense of responsibility in the rural people. Other informal education related activities will also be performed by this organisation.
- Promote sports and sports education so the society as a whole can become healthy.
Cultural
MF will help to create awareness among the people for promoting Cultural activities. Ruins and relics of old historical cultural of by gone centuries (Takht-i-Bahi, Rani Gut, Jamal Gari, Shahbaz Gara and others) can be preserved through a process of awareness and education of the local people in order to stop illegal excavation and to protect these sites for the future generation.
This will promote tourism in our country.
MF will support the writers and poets who work for the awareness of the culture.
Article 4
ELIGIBILITY OF MEMBERSHIP
- An applicant shall be a Pakistani National or shall have Pakistani ancestors
- Above 17 years of age.
- Any gender
- Any religion
- An agreement with the aims and objectives of the organization
- Not be convicted by any court of law in a criminal or fraud case
Article 5
Categories of membership
1. MANAGING DIRECTOR
MF may invite any distinguished person to become Managing Director of the Organisation who may support the organisation financially and in different respect and capable of promoting the organisation at all levels.
2. BOARD OF GOVERNORS There will be a Board of Governors comprising, distinguished and accomplished persons to serve as advisory.
The “Managing Director” in consultation with the “Executive Body” will nominate the board of Governors. The board will guide the Organisation in all important matter related to objectives and will put forward suggestions. No subscription will be charged from the Managing Director and members of the Board. The Managing Director and Members of the Board shall have no right to vote.
3. BOARD OF DIRECTORS
The Directors of various wings of the organisation will be its members with Managing Director as the head for each wing. They will implement Policies framed by the Organisation and will contribute their time and energies for running the affairs of the MF and the promotion of its objectives.
4. GENERAL MEMBERS
Every individual who is ready to extend moral and/or financial support to the organisation will be a general member. They will take part in the functions of the organisation.
Article 6
PROCEDURES FOR MEMBERSHIP
A person desirous to become a member shall apply to the Executive Body on a prescribed form along with fee given in the form. Every member will have to deposit the monthly membership subscription. The “Executive boy” will fix both these subscription from time to time.
Article 7
ACCEPTANCE/REJECTION PROCEDURE
- The Director Coordination will submit the application form in the meeting of the Executive Body.
- The Executive Body will examine the eligibility/desirability of each case and shall accept/reject any membership application. However in the case of rejection, valid reasons shall be recorded and the applicant shall be informed. Any such decision for membership shall not take more than a month.
Article 8
CAUSES FOR CANCELLATION OF MEMBERSHIP
Any member shall be liable for cancellation on the following reasons.
- When a member does not abide by the rules and regulation of the Organisation.
- When a member absents himself from three consecutive General Body meetings without submitting prior apology.
- When a member is found involved in activity or acts pre-judicial to the purposes of the Organisation.
Article 9
OFFICIAL PROCEDURE FOR CANCELLATION OF MEMBERSHIP
For Absence from Meeting
The Executive Body shall issue a fifteen days notice to the member. If a member fails to give any satisfactory answer, the executive body with a simple majority may cancel his membership.
For Any Misconduct
Member will submit a written explanation to the Executive Body within fifteen days. The Executive Body shall either issue a warning to the member or in the case of unsatisfactory explanation cancel his membership by a simple majority vote.
Article 10
RESIGNATION PROCEDURE
If a member wishes to resign from membership, he will do so only after cleaning all outstanding dues. He shall submit written resignation to the Director Coordination and the Executive Body will decide either to accept or reject such an application. On a re-application for membership following resignation, a member may get reinstated within three months.
Article 11
LEAVE PROCEDURE
Leave may also be provided to the founding members of the MF. Leave will be without pay and benefits if any such member is allowed any pay & benefits. They will however pay the monthly subscription during leave if the Executive Body so directs.
Article 12
ORGANISATION STRUCTURE
There will be three main bodies of the Organisation.
- Executive Body
- General Body
- Board of Governors
- Executive Body
This is the main and principal organ of MF. It will take decision and implement the policies of the organisation. The Executive will comprise of 6 – 10 members, majority of whom will be elected by the General Body for a term of two years, while the managing director will nominate the rest. This will approve and execute all policies, plans, projects, programs and approve the minutes of the previous meeting and annual report of the organization. It will pass annual budget and audit accounts statement of the preceding years and will appoint auditor for audit as well as have the power to amend the constitution by the approval of the “General Body”. It will decide to open new branches of organisation. It will frame all rules regulations. It will arrange/cell meetings quarterly and any time.

Note: In case if the organisation has further expansion or more activities, the Managing Director has the power to appoint Deputy or Junior Office bearers.
Article 13
POWER OF OFFICE BEARERS
1. The Managing Director
The managing Director will
- Be the head of the Organisation
- Be Supervise and control all the activities of the Organisation
- Have the power to appoint, terminate officials and constitute various bodies, committees etc. to facilitate work of the Organisation.
- Approve and sign minutes of the meetings and countersign the expenditure vouchers.
- All the office bearers will be answerable to the managing director and he will be answerable to the executive body.
- Call explanation of any member directly on any mater in the interest of the Organisation
- Preside over the meetings of Executive and General Bodies.
- Assign his responsibilities , if he is absent, to any Director of Organisation
- Assign any responsibility to any member to the Organisation
- Be responsible to protect, purchase, sell or lease out any property of the Organisation with the approval of Executive body.
- Be the ex-office member and secretary of the Board of Governors.
2. Director Coordination
It will be the duty of Director Coordination to
- Correspond with various Departments, Agencies and persons on behalf of the Organisation.
- Prepare agenda for various meetings in consultation with the Managing Director and issue notice for the meetings.
- Record the proceedings of the General and Executive Bodies meetings and communicate minutes to all the concerned.
- Coordinate the activities of the entire Directors.
- Deal all matter pertaining to recruitment, auditing and disposal of matters.
- Keep record of the office and keep the programs in operation.
- Issue circular/instruction in consultation with the Managing Director to all members and staff.
- Prepare drafts and annual reports of the Organisation regarding its services and functions.
- Perform any duty pertaining to the Organisation, which is entrusted to him by the Managing Director.
3. Director Planning
The Director Planning shall be responsible to
- Conduct surveys, seminars, symposiums, workshops and training.
- Prepare, appraise, monitor and evaluate different projects and to hire consultancies.
- Maintain business relations with other NGOs and GOs on behalf of the Organisation
4. Director Finance
The Director of Finance will
- Deal all financial matters of the Organisation and sign the cheque.
- Propose suggestions for rising of the funds.
- Be responsible to maintain accounts and prepare Developmental and Non-Development Budget of the Organisation.
5. Director Public Health
- The identification of different problems in public health
- Help in provision of basic health facilities
- Health awareness program and health camps
7. Director Women Development Wing
The Director of Women Development Wing will
- Make efforts to educate and give awareness to women & Children about the importance of a healthy environment and a drug free society.
- Involve both educated and uneducated women in achieving the objectives of the Organisation.
- Maintain relationship with other women Organisation and NGOs.
8. Director Culture/Sports
- To find ways & means to promote culture and sports
- To help and introduce new talent
- To look for sports facilities
- Financial support who help in the promotion of culture and sports
9. Director Publication
- To prepare publicity materials
- To publish reports
- Prepare new projects

Article 14
SOURCE OF INCOME
The sources of income are mentioned as under
- Membership subscription
- Regular monthly or equivalent yearly contribution from members and non-members
- The Organisation will accept financial aid, Loans, Subsidies and Grants from different National and International Donor Agencies, Individual, Government and Non-Government Agencies.
- The Organisation will operate an account in its name in any Commercial Bank. All the cheques will be signed by the Managing Director and Director Finance
Article 15
PROCEDURE FOR GENERAL BODY MEETING
- The General Body meeting shall be held once a year
- It will elect the Managing Director and the Executive Body
- It will approve Budget and amend the Constitution
- The Managing Director will preside over its meetings
Article 16
RETIREMENT & RENEWAL, PROCEDURE OF THE BOARD OF GOVERNORS
- The members of the Board of Governors will hold their office for a period of one year. At the expiration of that period their membership will be ceased automatically
- If the Managing Director desire, he can renew their period for another term of one year
- In case a seat of Board falls vacant, the Managing Director has the powers to nominate any other person as its members, in consultation with the Executive Body.
Article 17
QUORUM
The Quorum of every meeting shall be one third of the total member
Article 18
ELECTION PROCEDURE
Mode of election will be secret ballot or any other way decided by the Executive Body.
Article 19
AMENDMENT OF CONSTITUTION
The amendment shall be submitted in the Executive Body meeting and decision shall be of majority subject to the approval of the General Body.
Article 20
Dissolution Procedure
The Organisation will stand dissolved if all its Office Bearers and majority of its General Body members pass a resolution for dissolution.
